Public company General Counsels are operating in an environment defined by heightened scrutiny and sustained pressure. Boards are asking for sharper governance judgment, executives are navigating volatility across markets and strategy, and legal teams are expected to deliver steadiness and credibility even as resources remain constrained. At the same time, the external landscape continues to evolve. Shareholder activism is more sophisticated and persistent, transactions face greater regulatory and economic friction, and AI is reshaping both how companies compete and how internal functions operate.
This program is designed to give public company GCs space to step back from day to day demands and engage with peers on what real leadership looks like under these conditions. Discussions will focus on practical decision making, candid lessons learned, and approaches that are actually working today, from preparing boards for activist pressure to aligning legal, product, and operations around AI, culture, and controls. The emphasis is on real world leadership under real constraints, informed by lived experience rather than theory.

This Offsite is an opportunity to step back from the daily sprint. We invite you to unplug for a couple of days to connect with peers, reflect on the present, and focus on the future.

Boards are operating in an unusually tense environment. Activist appetite is rising, market volatility is compressing timelines, and investors are relying more heavily on governance scores, benchmarking, and direct outreach to assess board credibility. Public company GCs are finding that fundamentals matter more than ever—but that preparation alone is not enough. Board evaluations, committee structure, reputational readiness, and escalation discipline are being tested in real time, often under incomplete information and internal disagreement.
This session explores how GCs assess governance health before pressure arrives, identify early warning signs boards often underestimate, and support directors through moments of uncertainty where reputational stakes are high and decision-making can fracture. The discussion is grounded in practical realities, with a focus on judgment calls and interventions that are actually holding up in boardrooms right now.
Every public company faces ongoing challenges with its workforce and needs to manage employment risk. The number of employee claims and government enforcement actions only continues to rise, plus there’s shareholder activism and continued pressure to increase efficiency in the face of AI. In this session, we explore some of the hottest high risk topics in employment law and practical solutions to mitigate that risk. From class and PAGA actions and runaway juries, to mass terminations, whistleblowers, and discrimination / “reverse” discrimination claims, we’ll talk through these employment risks and practical solutions for how to address them.
In today’s high-scrutiny market, successful M&A requires earlier board alignment, tighter sequencing, and more aggressive risk allocation. This session examines how legal leaders are executing acquisitions amid evolving U.S. and global antitrust pressure and the expansion of national security (CFIUS/FDI) reviews into routine technology deals. Speakers will provide practical guidance on managing interim operating covenants during extended review windows, utilizing RWI to bridge indemnity gaps, and navigating the unique fiduciary pressures of "existential" sell-side events. The conversation focuses on the judgment calls that matter most—from the LOI stage to post-close integration—with concrete takeaways GCs can apply to their next transaction.
AI is reshaping expectations across public companies, from how boards think about risk to how customers evaluate product value to how legal teams evolve internal operations. This interactive session begins with a candid fireside conversation with an AI-native GC, focused on instilling and optimizing AI proficiency in the legal team and adapting the role of in-house counsel to boost an AI-forward business model.
Afterward, attendees will move into two focused breakout discussions: one on how AI fits into business strategy and customer value, and another on what is genuinely working in legal operations, workflow automation, and the supporting tech stack. Participants will leave with conceptual clarity and practical next steps they can take back to their teams.
