IPO as a Continuum: Readiness, Execution, and Life After Listing
The IPO is no longer a single event—it is a multi-phase transition that begins well before filing and continues long after listing. Legal teams are expected to establish public-company discipline early, guide the organization through the intensity of the transaction, and then operate within a more visible and demanding environment. Expectations around governance, disclosure, and cross-functional coordination now build across each stage rather than resetting at the offering.
This Forum is designed for Deputy GCs and counsel supporting that full lifecycle. In a closed-door, peer-driven setting, we will examine what meaningful IPO readiness looks like today, including how to prioritize governance, controls, and disclosure frameworks before timelines are certain, and how to calibrate investment in readiness against shifting market conditions.
Â
We will also focus on the execution phase itself—how legal teams manage diligence, disclosure, and internal alignment under compressed timelines—and how those decisions carry forward into the public-company environment. Particular attention will be given to what changes immediately after listing, from board dynamics and reporting cadence to the increased scrutiny placed on legal judgment and processes.
The goal is to ensure continuity across the IPO journey. By connecting decisions made before the IPO to outcomes during and after it, participants will leave with a clearer view of where gaps tend to emerge, how to address them early, and how to build legal systems that remain effective as the company transitions to life as a public company.
-> From Runway to Filing: Covers how legal teams build the governance, board structure, and reporting infrastructure needed to carry a company through its S-1 and beyond, while making tough judgment calls on prioritization, CFO alignment, and dual-track IPO/M&A processes.
-> Clearing for Takeoff: A practical walkthrough of executing an IPO end-to-end from in-house counsel's seat—resolving IP, litigation, and regulatory exposure early, managing SEC review, and keeping control of outside counsel and bankers.
-> Equity, Liquidity, and the Employee Conversation: Explores counsel's role in navigating and communicating the economics of going public, from pre- and post-listing liquidity options to compliant employee communications during quiet periods and post-IPO stock volatility.
->Â Pricing, Underwriters, and Going to Market: Demystifies the commercial side of an IPO for in-house counsel, breaking down pricing decisions, the underwriter relationship, roadshow risk, and counsel's role when bankers set the pace.
->Â Life After Listing: Focuses on the critical first year as a public company, covering Reg FD compliance, internal education, early board/audit committee operations, and managing the lockup period and 10b5-1 timing.
-> Speak Up, Stay Compliant: Examines how whistleblower allegations and internal reporting obligations change after going public, and how to build an intake and investigation process that stays compliant without discouraging legitimate reporting.
-> Building the Legal Team for the Public Company You're Becoming: Looks at how Deputy GCs and senior counsel should rethink team structure, hiring, outside counsel use, and budget to match the demands of life as a public company.
